All prices are quoted exclusive of applicable taxes, duties, levies, and freight charges unless explicitly stated otherwise. Currency and pricing are subject to change without notice until a formal order confirmation is issued.
Overdue invoices will accrue interest at a rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until the date of full payment. DUROX INDUSTRIAL will make reasonable efforts to meet agreed delivery schedules but shall not be liable for delays caused by circumstances beyond our reasonable control.
Risk of loss and title to goods passes to the Client upon delivery to the carrier at our facility (EXW Incoterms 2020), unless otherwise agreed in writing. The Client is responsible for arranging appropriate freight insurance for all shipments.
Inspection on Receipt
The Client must inspect all goods upon receipt and notify DUROX INDUSTRIAL in writing of any visible damage, shortage, or discrepancy within five (5) business days of delivery. Failure to notify within this period shall constitute acceptance of the goods as delivered.
DUROX INDUSTRIAL packages all products in accordance with industry standards to prevent damage during transit. Special packaging requirements must be specified at the time of order and may incur additional charges.
Warranty & Liability
DUROX INDUSTRIAL warrants that all products will conform to the agreed specifications and be free from defects in materials and workmanship for a period of twelve (12) months from the date of delivery, under normal storage and handling conditions.
This warranty does not cover defects arising from: improper installation, handling, or storage by the Client; use outside the specified design conditions; unauthorized modification or repair; normal wear and tear; or failure to follow DUROX INDUSTRIAL's technical guidance.
Limitation of Liability
To the maximum extent permitted by applicable law, DUROX INDUSTRIAL's total liability for any claim arising out of or related to these Terms or any order shall not exceed the total value of the specific order giving rise to the claim. In no event shall DUROX INDUSTRIAL be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of production, or business interruption.
Warranty claims must be submitted in writing with supporting documentation, including inspection reports, photographs, and relevant test data, within the warranty period. DUROX INDUSTRIAL reserves the right to inspect claimed defective goods before authorizing any remedy.
Remedies under this warranty are limited to, at DUROX INDUSTRIAL's sole discretion: replacement of defective goods, repair, or refund of the purchase price for the affected items.
Intellectual Property
All intellectual property rights in DUROX INDUSTRIAL's products, manufacturing processes, surface engineering methods, technical documentation, drawings, specifications, and proprietary coatings systems remain the exclusive property of DUROX INDUSTRIAL or its licensors.
Nothing in these Terms grants the Client any rights to use, copy, reproduce, or disclose DUROX INDUSTRIAL's intellectual property for any purpose other than the intended use of the purchased products.
Where the Client provides drawings, specifications, or designs for custom products, the Client warrants that such materials do not infringe any third-party intellectual property rights and shall indemnify DUROX INDUSTRIAL against any claims arising from such infringement.

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which DUROX INDUSTRIAL is incorporated, without regard to conflict of law principles.
In the event of any dispute arising from or in connection with these Terms or any order, the parties shall first attempt to resolve the matter through good-faith negotiation. If resolution cannot be reached within thirty (30) days, the dispute shall be referred to binding arbitration in accordance with the rules of a mutually agreed arbitration body.
Notwithstanding the foregoing, DUROX INDUSTRIAL reserves the right to seek injunctive or other equitable relief in any competent court to protect its intellectual property rights or confidential information.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
